ERPkit Marketplace Sync is provided as-is, without warranty of any kind, express or implied. By using ERPkit, you agree to the following:


Limitation of Liability

ERPkit automates data synchronization between your ERP system and your marketplace accounts. While we take every reasonable precaution to ensure accuracy:

  • ERPkit is not responsible for data accuracy. ERPkit syncs data as provided by your ERP (Dolibarr) and your marketplace. If your source data is incorrect, ERPkit will sync incorrect data. Always verify your product prices, stock levels, and order details at the source.
  • ERPkit is not responsible for financial decisions based on synced data. Verify all invoices, tax calculations, and financial documents before sending them to customers or submitting them to tax authorities.
  • ERPkit is not responsible for marketplace policy violations. You are responsible for ensuring that the data you sync complies with your marketplace's terms of service and policies.

Data Processing

  • ERPkit processes your data only for the purpose of synchronization between your ERP and your marketplace accounts.
  • Your marketplace credentials are stored in your own Dolibarr instance for marketplaces that allow it (Shopify, WooCommerce, PrestaShop); ERPkit retrieves them temporarily during each sync cycle and discards them afterward. For OAuth marketplaces whose model requires it (eBay), ERPkit stores a single refresh token encrypted at rest on its servers — see the Privacy Policy for detail.
  • Your Dolibarr API key is encrypted at rest on ERPkit servers and is only decrypted during sync operations.
  • ERPkit does not sell, share, or transfer your data to third parties.
  • Roles under GDPR. ERPkit is the data controller for your account and service data, and acts as your data processor for the end-customer order data that flows through your marketplace syncs (where you are the controller). The processor relationship is governed by the Data Processing Agreement below, which forms part of these Terms. See the Privacy Policy for the full picture.

Data Processing Agreement (ERPkit as your processor)

This section is the data processing agreement required by Article 28(3) GDPR for the end-customer order data ERPkit processes on your behalf — your customers' names, billing and shipping addresses, and email addresses, read from your connected marketplaces to build your Dolibarr orders, invoices, and Factur-X documents. For that data you are the controller and ERPkit is your processor. By accepting these Terms when you create your account, you and ERPkit agree to the following.

  • Scope and purpose. ERPkit processes this end-customer data only to perform the syncs you configure, for as long as your sync configuration exists. Each record is processed only for the duration of the sync cycle that touches it; the data is transient and is not persisted on ERPkit servers (only one-way hashes and operational counts remain).
  • Your instructions. ERPkit processes the data only on your documented instructions, expressed through your sync configuration and the actions you take in the app. ERPkit will not use it for its own purposes, and will tell you if it believes an instruction infringes data-protection law.
  • Confidentiality. Anyone authorised by ERPkit to process the data is bound by a duty of confidentiality.
  • Security. ERPkit applies appropriate technical and organisational measures: TLS 1.2+ in transit, AES-256-GCM for credentials at rest, EU hosting (Frankfurt, Germany), data minimisation (transient processing; sync logs exclude order bodies), and access control with MFA.
  • Sub-processors. You give ERPkit general authorisation to use sub-processors, on equivalent data-protection terms, with ERPkit remaining liable for them. The only sub-processor in this data flow is OVH (EU hosting, Frankfurt). The marketplaces you connect are not ERPkit sub-processors — they are your own accounts and the source of the data; your Dolibarr is your own system and the destination. ERPkit will give advance notice of any change to its sub-processors so you can object.
  • Assistance with data-subject rights. Because the data is transient and not persisted, your end-customers' requests are handled by you as the controller, within your marketplace and Dolibarr. ERPkit provides reasonable assistance within its control and, if an end-customer contacts ERPkit directly, directs them to you and notifies you.
  • Breach notification. If ERPkit becomes aware of a personal-data breach affecting this data, it will notify you without undue delay (Art. 33(2)) so you can meet your own obligations as controller.
  • Deletion or return. ERPkit holds no standing copy to return or delete; the order data remains in your marketplace and your Dolibarr. On termination, ERPkit deletes the associated configuration, credentials, sync logs, and hash caches per the Privacy Policy retention schedule.
  • Audits. ERPkit will make available the information needed to demonstrate compliance with this section and contribute to reasonable audits, subject to reasonable scope, notice, and confidentiality.
  • International transfers. This data is processed in the EU (Frankfurt). Any transfer outside the EU is covered by an appropriate safeguard (adequacy, Standard Contractual Clauses, or equivalent).

Factur-X / Electronic Invoicing

ERPkit generates Factur-X-compliant electronic invoices (PDF/A-3 with embedded CII XML) to help you meet EU electronic invoicing requirements. However:

  • ERPkit does not guarantee regulatory compliance. Electronic invoicing regulations vary by country and are subject to change. Consult your accountant or legal advisor to ensure your invoicing meets all applicable requirements.
  • You are responsible for verifying invoice accuracy before sending documents to customers. ERPkit generates documents based on the data in your Dolibarr — if your Dolibarr data is incomplete or incorrect, the generated documents will reflect that.
  • ERPkit does not send invoices on your behalf. Generated Factur-X documents are uploaded to your Dolibarr as file attachments. You send them to your customers using Dolibarr's built-in email or document sharing features.

Service Availability

  • ERPkit operates on a best-effort basis. We aim for high availability but do not guarantee uninterrupted service.
  • Scheduled maintenance windows will be communicated in advance when possible.
  • If ERPkit is temporarily unavailable, your Dolibarr and marketplace accounts are unaffected. When service resumes, synchronization picks up where it left off — no data is lost.

Your Responsibilities

  • Maintain accurate data in your Dolibarr ERP system.
  • Keep your marketplace credentials current and your API scopes properly configured.
  • Monitor your sync logs regularly for warnings and errors.
  • Verify synced data (especially prices and invoices) before relying on it for business decisions.
  • Comply with all applicable laws and marketplace policies regarding the data you sync.
